Terms of service

These terms cover using Carbon, whether you run journeys, buy leads, or just visit the site. They explain what we provide, what you’re responsible for, and how leads, credit and billing work.

The agreement

These terms are an agreement between you and Carbon. If you use Carbon for a company, you accept them for that company and confirm you have authority to do so. A signed order form or enterprise agreement takes precedence over these terms where they conflict.

Accounts and beta access

  • Carbon is in private beta. Access is by invitation or approval, and beta features may change, be limited, or be removed.
  • Keep your sign-in details secure. You’re responsible for activity under your account and for the people you invite.
  • With your permission, or when needed to support or secure the service, Carbon staff may access your account. Every such session requires a written reason, is time-limited, and is logged.

Customer responsibilities

If you run journeys or campaigns on Carbon, you are responsible for:

  • your content, offers, estimates, consent wording and advertising;
  • getting valid consent before anyone is contacted, and following the TCPA, Do Not Call rules, state laws, carrier requirements and ad-platform policies (see Consent and texting);
  • having a privacy notice for the journeys you publish, and handling requests from people about their data;
  • the businesses you choose to sell or deliver leads to.

Leads and the marketplace

  • A lead is delivered or sold only after the person confirms their phone number and passes quality checks for duplicates, unreachable numbers and automated traffic. Carbon doesn’t guarantee that any lead will result in a sale or a job.
  • Leads can be sold exclusive (one buyer) or shared, up to the limit the customer sets, which is never more than four buyers. Once anyone buys a lead shared, it can no longer be bought exclusive.
  • Buyers see a summary before they buy. Contact details unlock after purchase. Buyers may contact the person only about the request they made, and only as the consent allows.
  • Buyers may not resell leads, add them to other marketing lists, or contact people after they opt out.

Buyer credit and disputes

  • Buyers prepay credit and may turn on auto top-up. Auto top-up charges your saved payment method whenever your balance falls below the threshold you set, until you turn it off.
  • Credit is used only to buy leads on Carbon. It isn’t a bank account, doesn’t earn interest, and can’t be transferred. Unused credit is refundable on request when you close your account, less any amounts owed.
  • Report a problem lead within 72 hours of purchase, for example a wrong number, a duplicate, an address outside your area, or no real project. The seller reviews disputes. Valid disputes are credited back to your balance.

Plans, fees and billing

  • Plans, included leads and overage rates are listed on the Pricing page or in your order form. Yearly plans are billed in advance.
  • Leads over your plan’s allowance are billed at your plan’s overage rate at the end of each billing period.
  • Where Carbon processes marketplace sales for you, the fees and payout schedule shown in your account apply. Payouts may be held for pending disputes or suspected fraud.
  • Fees don’t include taxes, and you’re responsible for applicable taxes. Unless the law requires otherwise, fees already paid are non-refundable, except for unused buyer credit as described above.
  • We may change prices with at least 30 days’ notice. Changes take effect at your next renewal.

Your data

You own the content and lead data you put into Carbon. You give Carbon permission to host, process and use it to provide, secure and improve the service, as described in our Privacy policy. We may use de-identified, aggregated data, such as benchmark completion rates or regional price ranges, which doesn’t identify you or any person. You can export your data while your account is active.

Acceptable use

Don’t use Carbon to:

  • mislead people, for example by impersonating another business, using fake urgency, or showing prices you don’t believe are reasonable;
  • collect sensitive information that a journey doesn’t need;
  • contact people without consent;
  • break the law;
  • interfere with the service, probe it for weaknesses, or scrape it;
  • build a competing product from it.

Estimates and results

Estimates, calculators and experiment results in Carbon are tools, not promises. Estimates are only as accurate as the pricing data and answers behind them. Customers are responsible for how they present estimates to the public. Experiment results show what happened in your traffic and don’t guarantee future results. A person on your team decides what to publish or promote.

Carbon’s service

Carbon and its software, designs and content belong to us or our licensors. We give you a limited, non-exclusive, non-transferable right to use the service under these terms. If you send us feedback, we may use it without obligation.

Disclaimers

Carbon is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. We don’t guarantee that the service will be uninterrupted or error-free, or that any number of leads, sales or jobs will result.

Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Carbon’s total liability for any claim is limited to the amounts you paid Carbon in the 12 months before the claim. These limits don’t apply to your payment obligations or to either party’s liability that can’t be limited by law.

Suspension and termination

You can stop using Carbon at any time. We may suspend or end access if you breach these terms, create legal or security risk, or don’t pay. Where reasonable, we’ll notify you first. The sections that by their nature should survive termination will survive it, including fees owed, data export, disclaimers and limitation of liability.

General

We may update these terms. If we make material changes, we’ll give notice before they take effect. These terms are governed by the laws of the state named in your order form or, if none is named, the State of Delaware, excluding its conflict-of-law rules. If a provision is unenforceable, the rest still applies. Questions: legal@carbonform.io.
